Calendary Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Grimado Global Group LLC, a Wyoming limited liability company (“Calendary,” “we,” “us,” or “our”), governing your access to and use of the Calendary web app at thecalendary.com and, once released, the Calendary mobile apps, and everything we offer through them (together, the “Service”). By creating an account, clicking to accept, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

1. Definitions

  • “Host”— a registered user who publishes a booking page, event types, and availability.
  • “Invitee”— a person who books a meeting through a Host’s booking page, whether or not they have a Calendary account.
  • “Team”— a group account created by a Host on the Teams plan, with an owner, one or more members, and a shared billing subscription.
  • “Content”— text, images, branding, availability data, event descriptions, reviews, and any other material submitted to or generated through the Service by you or on your behalf.
  • “Booking”— a confirmed meeting scheduled through the Service between a Host and an Invitee, whether free or paid.

2. Acceptance and eligibility

  • You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, if higher) to create an account. If you are under the age of majority where you live, you may only use the Service with the involvement of a parent or legal guardian.
  • If you create or use an account on behalf of a company, organization, or other entity (including a Team), you represent that you have the authority to bind that entity to these Terms, and “you” refers to both you and that entity.
  • You may not use the Service if you are barred from doing so under the laws of the United States or any other applicable jurisdiction, including export-control and sanctions laws described in Section 24.

3. Accounts and security

  • You must provide accurate information when creating an account and keep it up to date.
  • You’re responsible for keeping your login credentials confidential and for all activity that occurs under your account, whether you authorized it or not. Notify us immediately at cx@thecalendary.com if you suspect unauthorized access.
  • You may sign in with a password or through a third-party identity provider (Google, Microsoft, or Apple). Using a third-party sign-in is also subject to that provider’s own terms.
  • Usernames are claimed on a first-come, first-served basis and form part of your public booking link. We may reclaim a username that infringes someone else’s rights, impersonates another person or brand, or violates these Terms.

4. The Service

Calendary lets Hosts publish a booking page, set availability, and let Invitees book meetings that sync to the Host’s calendar (Google Calendar with a Meet link, Microsoft Outlook Calendar, or Apple Calendar via CalDAV). Optional features include Zoom meeting links, Slack notifications, paid bookings and session packs via Stripe, campaign-link attribution, review collection, automated rebooking and checkout-recovery emails, and multi-seat Team accounts with round-robin booking. Not every feature is available on every plan; current plan features are described at thecalendary.com/pricing. We may add, change, or remove features at any time.

5. Plans, billing, and auto-renewal

  • Free plan:one event type, calendar sync, paid bookings with a 3% Calendary fee, and “Powered by Calendary” branding on your booking page. Free, with no trial period and no expiration.
  • Pro plan: $7.49/month or $69.99/year, an auto-renewable subscription. Removes the event-type limit, drops the Calendary fee from 3% to 0%, and adds Zoom, session packs, page design, and removal of Calendary branding.
  • Insights plan: $11.99/month or $109.99/year. Includes everything in Pro, plus traffic sources, twelve months of analytics history, per-visit detail, and spreadsheet export.
  • Teams plan: $12.99 per seat per month or $119.99 per seat per year, with a minimum of two seats. Every seat includes everything in Insights plus shared team booking (round-robin routing, optional direct booking of a specific member, roles, and notification routing). The Team owner controls billing and seat count; adding or removing seats prorates the current billing period.
  • Subscriptions renew automatically until cancelled. On the web, payment is charged to the card on file with Stripe at confirmation of purchase and at the start of each renewal period. In our mobile apps, once released, purchases are made through the Apple App Store or Google Play and billed by Apple or Google under their own payment terms, and managed through RevenueCat as our subscription infrastructure provider.
  • You can manage or cancel a web subscription at any time from the billing portal in Settings, and an in-app subscription from your App Store or Google Play account settings. Cancellation stops future billing at the end of the current billing period but does not retroactively refund that period. Refunds for store purchases are handled by Apple or Google under their own refund policies, except where applicable law requires otherwise.
  • Prices may change. We’ll give at least 30 days’ notice before a price change takes effect for an active subscription; continuing to use a paid plan after that notice period constitutes acceptance of the new price.
  • Prices shown do not include applicable sales, use, VAT, or similar taxes, which we (or Apple/Google, for in-app purchases) may collect where required by law.
  • A referral or promotional credit (for example, a free month from a referral program) is personal, non-transferable, has no cash value, and may be modified or discontinued at any time.

6. Paid bookings, the Calendary fee, and session packs

If you enable pricing on an event type, Invitees pay through Stripe Checkout as part of booking, before the Booking is confirmed. You are the merchant of recordfor your paid bookings: Invitees pay you directly through your own connected Stripe account, payouts follow Stripe’s own schedule to your bank account, and Stripe’s processing fee (currently 2.9% + 30¢ per US card charge, Stripe’s standard published rate; rates vary by country and payment method) is deducted by Stripe on every plan. On the Free plan, Calendary additionally keeps a 3% fee on each paid Booking; on Pro, Insights, and Teams, the Calendary fee is 0%. Events without a price are always free to book, on any plan.

A Pro-plan Host may also sell a session pack: a prepaid bundle of a fixed number of sessions for one event type, charged in full at the time of purchase. Session-pack credits are redeemed automatically when the same Invitee books that event type again, without a further charge, until the credits run out. Session-pack credits are not refundable except as described in Section 7, are tied to the specific Host and event type they were purchased for, and have no cash value.

Calendary is not a party to the underlying meeting or service a Booking represents. Disputes about the quality, delivery, or substance of that meeting or service are between the Host and the Invitee.

7. Refunds and cancellations

Platform subscriptions (Pro, Insights, Teams)

You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period, and we do not provide prorated or partial refunds for unused time, except where required by law.

Paid bookings

  • Every paid event type can have an optional cancellation window, set in hours by the Host. If the Invitee cancels before that window, the payment (including Calendary and Stripe fees) is refunded automatically and in full.
  • If the Invitee cancels inside the window, the payment stays with the Host and the slot reopens.
  • If the Host cancels a Booking, for any reason and at any time, the Invitee is always refunded in full.
  • If no cancellation window is set, a paid Booking is non-refundable when the Invitee cancels, but the Host can always issue a refund manually by cancelling the Booking.
  • If a session-pack credit was used to redeem the cancelled Booking, the credit is restored to the Invitee’s balance under the same rules above (automatically restored on a Host cancellation or an in-window Invitee cancellation).

8. Team accounts

A Team owner may invite members, assign roles (admin, moderator, or staff), and configure whether visitors can book a specific member directly in addition to the shared, round-robin team booking page. The Team owner is responsible for the Team’s subscription and seat count and can remove a member at any time, which cancels that member’s own upcoming Team bookings and frees their seat. A member’s personal Calendary account and any personal subscription are separate from, and unaffected by, their Team membership.

9. University program

A verified student or faculty member with an eligible university email address may receive one year of Pro at no charge, subject to the terms shown when claiming it. A grant is tied to one verified university email per account, is renewable starting 45 days before it expires (or any time after it lapses, subject to re-verification), and reverts the account to the Free plan if not renewed. We may modify or end this program at any time.

10. Host obligations

  • You are solely responsible for the services, sessions, or products you offer through your event types, for the accuracy of your booking-page content, and for complying with any licensing, professional, or regulatory requirements that apply to what you offer.
  • You are responsible for determining, collecting, and remitting any taxes owed on amounts you charge Invitees.
  • You may not use the Service to offer illegal goods or services, or services that violate Stripe’s own prohibited- and restricted-business terms (available at stripe.com/legal/restricted-businesses), since paid bookings are processed through Stripe.

11. Invitee terms

Invitees booking through a Host’s page are not required to create a Calendary account. By booking, an Invitee consents to Calendary processing their name, email, and Booking details as described in our Privacy Policy, and to receiving transactional emails about that Booking (confirmation, cancellation, reschedule, and, where the Host has enabled it, a post-session review request or a follow-up invitation to book again).

12. Reviews and user content

Where a Host has review collection enabled, an Invitee may be invited to submit a star rating and written testimonial about a completed Booking. A Host may approve or hide a submitted review on their own booking page but may not edit its content, and may not offer an Invitee payment or a discount in exchange for a positive review. By submitting a review, you grant Calendary and the Host a non-exclusive, royalty-free, worldwide license to display it on the Service. Calendary does not fabricate, purchase, or otherwise manufacture reviews, testimonials, or usage statistics displayed on the Service.

You retain ownership of Content you submit to the Service (event descriptions, photos, branding, reviews, and similar material). You grant Calendary a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that Content solely as necessary to operate and provide the Service to you and the Invitees you interact with.

13. Acceptable use

You agree not to:

  • Use the Service to send spam, harass, defraud, or mislead Invitees or other users.
  • Impersonate another person or misrepresent your affiliation.
  • Attempt to bypass plan limits, security controls, or database access rules.
  • Use the Service for any unlawful purpose or in violation of any applicable law, including money-laundering, fraud, or consumer-protection laws.
  • Reverse-engineer, scrape, or resell the Service, or use automated means to access it beyond what a documented public API permits, without our permission.
  • Upload Content that is unlawful, infringing, defamatory, or that violates a third party’s privacy or intellectual property rights.
  • Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it or related systems.

14. Suspension and termination

We may suspend or terminate your access to the Service, with notice where practicable, if you violate these Terms, if your use poses a security or legal risk to us or other users, if required by law, or if we discontinue the Service. You may stop using the Service and delete your account at any time from Settings → Danger zone in the app, or by contacting us at cx@thecalendary.com. Sections that by their nature should survive termination (including Sections 15–23) remain in effect after your account is closed.

15. Third-party services

Connecting Google Calendar, Microsoft Outlook Calendar, Apple Calendar, Zoom, Slack, Stripe, or (for mobile subscriptions) RevenueCat, the Apple App Store, or Google Play is optional and governed by those providers’ own terms and privacy policies in addition to ours. We’re not responsible for outages, changes, pricing, or data-handling practices of those third-party services.

16. Intellectual property; feedback

Calendary and its logo, design, and software are owned by us or our licensors and protected by intellectual-property laws. These Terms don’t grant you any rights to our trademarks or branding beyond what’s needed to use the Service as intended. If you send us feedback, suggestions, or ideas about the Service, you agree we may use them without restriction or obligation to you.

17. Copyright complaints (DMCA)

If you believe Content on the Service infringes your copyright, send a notice to our designated agent at cx@thecalendary.comwith the subject line “DMCA Notice” that includes: (a) a description of the copyrighted work claimed to be infringed; (b) the location of the allegedly infringing material on the Service; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the copyright owner; and (f) your physical or electronic signature. A user who believes their Content was removed in error may submit a counter-notice with comparable information. We may remove Content and terminate the accounts of repeat infringers at our discretion.

18. Disclaimers

The Service is provided “as is” and “as available.” We don’t guarantee the Service will be uninterrupted, secure, or error-free, or that third-party calendar or payment syncing will always work as expected. Calendary does not vet, endorse, or provide the underlying professional services, coaching, consulting, or other offerings that Hosts sell through their event types, and is not responsible for the quality or outcome of those services. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

19. Limitation of liability

To the fullest extent permitted by law, Calendary and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) $50. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you.

20. Indemnification

You agree to indemnify and hold Calendary, its owner, and its contractors harmless from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or related to your use of the Service, your Content, your violation of these Terms, or your violation of any law or third-party right.

21. Dispute resolution and arbitration

Please read this section carefully — it affects your legal rights.If a dispute arises out of or relates to these Terms or the Service, we’ll first try to resolve it informally: contact us at cx@thecalendary.com and describe the dispute; we will do the same for you.

If we can’t resolve a dispute informally within 60 days, you and Calendary agree that any dispute will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies. You and Calendary each waive the right to a jury trial and to participate in a class action, collective action, or representative proceeding. Arbitration will be conducted by a recognized arbitration provider under its applicable rules for consumer or commercial disputes, on an individual basis. You may opt out of this arbitration agreement by emailing cx@thecalendary.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration.

This section does not apply to the extent it is unenforceable under the mandatory consumer-protection law of your country or state of residence, in which case the applicable provisions of that law govern instead.

22. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except as Section 21 or applicable mandatory consumer law provides otherwise.

23. Your consumer rights

  • EU/UK/EEA residents: if applicable law gives you a right to withdraw from a distance contract for a digital subscription, you may exercise it within 14 days of purchase by contacting cx@thecalendary.com, unless you expressly requested immediate access to the paid features and acknowledged that doing so waives the withdrawal right once performance has begun.
  • California residents:under California Civil Code §1789.3, you may reach the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 N. Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
  • Nothing in these Terms limits any statutory right you have under the law of your country of residence that cannot be waived by contract.

24. Export control and sanctions

You may not use the Service if you are located in, or a national or resident of, a country or region subject to comprehensive U.S. trade sanctions, or if you are listed on any U.S. government restricted-party list. You agree to comply with all applicable export-control and economic-sanctions laws.

25. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of third-party services we depend on (such as Google, Microsoft, Apple, Zoom, Slack, Stripe, or our hosting and database providers), internet or power disruptions, natural disasters, or acts of government.

26. General provisions

  • Assignment: you may not assign or transfer these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Severability: if any provision of these Terms is found unenforceable, the remaining provisions stay in full effect.
  • No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
  • Entire agreement: these Terms, together with our Privacy Policy and any plan-specific terms referenced above, are the entire agreement between you and Calendary regarding the Service, superseding any prior agreements on the same subject.

27. Changes to these Terms

We may update these Terms from time to time. If a change is material, we’ll provide notice (for example, by email or an in-app notice) before it takes effect. Continued use of the Service after an update takes effect constitutes acceptance of the revised Terms. We’ll update the “Last updated” date above whenever changes are made.
